1. Acceptance The Use Of Eya.Life Library (the “ Digital Platform”) Terms andConditions
Your access to and use of Eya.Life Library is subject exclusively to these Terms and Conditions hereinafter, including any embeddable video player (the "Eya.LifePlayer") provided to you on or from or through the Digital Platform. You will not use the Digital Platform for any purpose that is unlawful or prohibited by these Terms and Conditions. By using the Eya.Life you are fully accepting the terms, conditions and disclaimers contained in this notice. Your legal agreement with Eya.Life is made up of
(A) the terms and conditions set out in this document,
(B) Eya.Life's Privacy Policy(https://eya.life/privacy) and
(C) Eya.Life's Community Guidelines(https://eya.life/community_guidelines) (collectively called the "Terms").
Eya.Life reserves the right to make changes the Terms from time to time, for example to address changes to the law or regulatory changes or changes to functionality offered through the Service. 2. CREDIT CARD DETAILS
Eya.Life Library will never ask for your credit card details and we advice ourcustomers to not enter their credit cards details on Eya.Life Library website or bysubmitting such details in any other form.
3. LEGAL ADVICE
The contents of Eya.Life Library website do not constitute advice and should not berelied upon in making or refraining from making, any decision.
All material contained on Eya.Life Library is provided without any or warranty of anykind. You use the material on Eya.Life Library at your own discretion.
Caregivers, parents and family should monitor the choices of minors and children,without any liabilities on Eya.Life or its staff.
4. CHANGE OF USE
Eya.Life Library reserves the right to:

5. LINKS TO THIRD PARTY WEBSITES
Eya.Life Library may include links to third party websites that are controlled and maintained by others. Any link to other websites is not an endorsement of such websites and you acknowledge and agree that we are not responsible for the content or availability of any such sites.
6. COPYRIGHT
6.1 All copyright, trade marks and all other intellectual property rights in the Digital Platform and its content (including without limitation the design, text, graphics and all software and source codes connected with the Digital Platform) are owned by or licensed to Eya.Life Library or otherwise used by Eya.Life Library as permitted by law.
6.2 In accessing the Website you agree that you will access the content solely for your personal, non-commercial use. None of the content may be downloaded, copied, reproduced, transmitted, stored, sold or distributed without the prior written consent of the copyright holder.
6.3 Eya.Life accounts
6.3.1 In order to access some features of the Website or other elements of the Service, you will have to create a Eya.Life account. When creating your account, you must provide accurate and complete information. It is important that you must keep your Eya.Life account password secure and confidential.
6.3.2 You must notify Eya.Life immediately of any breach of security or unauthorised use of your Eya.Life account that you become aware of.
6.3.3 You agree that you will be solely responsible (to Eya.Life, and to others) for all activity that occurs under your Eya.Life account.
7. GENERAL RESTRICTIONS ON USE
7.1 Eya.Life hereby grants you permission to access and use the Service, subject to the following express conditions, and you agree that your failure to adhere to any of these conditions shall constitute a breach of these Terms on your part:
A.you agree not to distribute any part of or parts of the Digital Platform, including but not limited to any Content, in any medium without Eya.Life's prior written authorization, unless Eya.Life makes available the means for such distribution through functionality offered by the service (such as the Eya.Life Player);
B.you agree not to alter or modify any part of the Digital Platform or any of its service (including but not limited to the Eya.Life Player and its related technologies);
C.you agree not to access Content through any technology or means other than the video playback pages of the Eya.Life itself, the Eya.Life Player, or such other means as Eya.Life may explicitly designate for this purpose;
D.you agree not to (or attempt to) circumvent, disable or otherwise interfere with any security related features of the Service or features that
(i) prevent or restrict use or copying of Content or
(ii) enforce limitations on use of the Service or the content accessible via the Service;
E.you agree not to use the Service (including the Eya.Life Player) for any of the following commercial uses unless you obtain Eya.Life's prior written approval:
i.the sale of access to the Service
ii.the sale of advertising, sponsorships or promotions placed on or within the Service, or Content;
iii.the sale of advertising, sponsorships or promotions on any page of an ad-enabled blog or website containing Content delivered via the Service unless other material not obtained from Eya.Life appears on the same page and is of sufficient value to be the basis for such sales
F.prohibited commercial uses shall not include
(i) uploading an original video to Eya.Life,
(ii) maintaining an original channel on the Digital Platform in order to promote a business or artistic enterprise,
(iii) showing Eya.Life videos through the Eya.Life Player or otherwise on an ad-enabled blog or website, subject to those advertising restrictions set out in 7.1(E)(iii) above; and
(iv) any use that is expressly authorised by Eya.Life in writing;
G.if you use the Eya.Life Player on your website may not modify, build upon or block any portion or functionality of the Eya.Life Player including but not limited to links back to the Website;
H.you agree not to use or launch any automated system (including, without limitation, any robot, spider or offline reader) that accesses the Service in a manner that sends more request messages to the Eya.Life servers in a given period of time than a human can reasonably produce in the same period by using a publicly available, standard (i.e. not modified) web browser;
I.you agree not to collect or harvest any personal data of any user of the Website or any Service (and agree that this shall be deemed to include Eya.Life account names);
J.you agree not to use the Website or the Services (including the comments and email features in the Website) for the solicitation of business in the course of trade or in connection with a commercial enterprise;
K.you agree not to solicit, for commercial purposes, any users of the Digital Platform with respect to their Content; and
L.you agree not to access Content or any reason other than your personal, non-commercial use solely as intended through and permitted by the normal functionality of the Digital Platform services, and solely for Streaming. "Streaming" means a contemporaneous digital transmission of the material by Eya.Life via the Internet to a user operated Internet enabled device in such a manner that the data is intended for real-time viewing and not intended to be downloaded (either permanently or temporarily), copied, stored, or redistributed by the user.
M.You shall not copy, reproduce, distribute, transmit, broadcast, display, sell, license, or otherwise exploit any Content for any other purposes without the prior written consent of Eya.Life or the respective licensors of the Content.
7.2 You agree that you will comply with all of the other provisions of the Terms and the Eya.Life Community Guidelines at all times during your use of the Digital Platform.
7.3 Eya.Life grants the operators of public search engines permission to use spiders to copy materials from the site for the sole purpose of creating publicly available searchable indices of the materials, but not caches or archives of such materials. Eya.Life reserves the right to revoke these exceptions either generally or in specific cases.
7.4 Eya.Life is constantly innovating in order to provide the best possible experience for its users. You acknowledge and agree that the form and nature of the Service which Eya.Life provides may change from time to time without prior notice to you.
7.5 You agree that you are solely responsible for (and that Eya.Life has no responsibility to you or to any third party for any breach of your obligations under the Terms and for the consequences (including any loss or damage which Eya.Life may suffer) of any such breach.
8. COPYRIGHT POLICY
8.1 Eya.Life operates a clear copyright policy in relation to any Content that is alleged to infringe the copyright of a third party. Details of that policy can be found here: https://www.Eya.Life/copyright_notice
8.2 As part of Eya.Life's copyright policy, Eya.Life will terminate user access to the services if a user has been determined to be a repeat infringer. A repeat infringer is a user who has been notified of infringing activity more than twice.
9. CONTENT
9.1 You agree that you will not post or upload any Content which contains material which it is unlawful for you to possess in the country in which you are resident, or which it would be unlawful for Eya.Life to use or possess in connection with the provision of the Service.
9.2 You agree that Content you submit to the Service will not contain any third party copyright material, or material that is subject to other third party proprietary rights (including rights of privacy or rights of publicity), unless you have a formal licence or permission from the rightful owner, or are otherwise legally entitled, to post the material in question and to grant Eya.Life the licence referred to in paragraph 8.1 below.
9.3 On becoming aware of any potential violation of these Terms, Eya.Life reserves the right (but shall have no obligation) to decide whether Content complies with the content requirements set out in these Terms and may remove such Content and/or terminate a User's access for uploading Content which is in violation of these Terms at any time, without prior notice and at its sole discretion.
9.4 You further understand and acknowledge that in using the Digital Platform, you may be exposed to Content that is factually inaccurate, offensive, indecent, or otherwise objectionable to you. You agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against Eya.Life with respect to any such Content.
10. RIGHTS YOU LICENCE
10.1 When you upload or post Content to Eya.Life, you grant:
A.to Eya.Life, a worldwide, exclusive and/or non-exclusive, royalty-free, transferable licence (with right to sub-licence) to use, reproduce, distribute, prepare derivative works of, display, and perform that Content in connection with the provision of the Service and otherwise in connection with the provision of the Service and Eya.Life's business, including without limitation for promoting and redistributing part or all of the Service (and derivative works thereof) in any media formats and through any media channels;
B.to each user of the Service, a worldwide, exclusive and/or non-exclusive, royalty-free licence to access your Content through the Service, and to use, reproduce, distribute, prepare derivative works of, display and perform such Content to the extent permitted by the functionality of the Service and under these Terms.
10.2 The above licenses granted by you in Content terminate when you remove or delete your Content from the Website. The above licenses granted by you in textual comments you submit as Content are perpetual and irrevocable, but are otherwise without prejudice to your ownerships rights, which are retained by you as set out in paragraph 7.2 above.
11. EYA.LIFE CONTENT ON THE DIGITAL PLATFORM
11.1 With the exception of Content submitted to the Service by you, all other Content on the Service is either owned by or licensed to Eya.Life, and is subject to copyright, trade mark rights, and other intellectual property rights of Eya.Life or Eya.Life's licensors. Any third party trade or service marks present on Content not uploaded or posted by you are trade or service marks of their respective owners. Such Content may not be downloaded, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purpose whatsoever without the prior written consent of Eya.Life or, where applicable, Eya.Life's licensors. Eya.Life and its licensors reserve all rights not expressly granted in and to their Content.
11.2 Notice and procedure for making claims of copyright or other intellectual property infringements.
(a) Eya respects the intellectual property of others and takes the protection of copyrights and all other intellectual property very seriously, and we ask our users to do the same. Infringing activity will not be tolerated on or through the Site or the Eya Service.
(b) Eya’ s intellectual property policy is to (1) remove material that Eya believes in good faith, upon notice from an intellectual property owner or their agent, is infringing the intellectual property of a third party by being made available through the Site, and (2) remove any Products or Submissions posted to the Site by “repeat infringers.” Eya considers a “repeat infringer” to be any user that has uploaded Products or Submissions to the Service and for whom Eya has received more than two takedown notices compliant with the provisions of 17 U.S.C. § 512(c) with respect to such Products or Submissions. Eya has discretion, however, to terminate the account of any user after receipt of a single notification of claimed infringement or upon Eya’ s own determination.
(c) Procedure for Reporting Claimed Infringement. If you believe that any Productions or Submissions made available on or through the Site or the Eya Service have been used or exploited in a manner that infringes an intellectual property right you own or control, then please promptly send a “Notification of Claimed Infringement” containing the following information to the Designated Agent identified below. Your communication must include substantially the following:
(i) A physical or electronic signature of a person authorized to act on behalf of the owner of the work(s) that has/have been allegedly infringed;
(ii) Identification of works or materials being infringed, or, if multiple works are covered by a single notification, a representative list of such works;
(iii) Identification of the specific material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit Eya to locate the material;
(iv)Information reasonably sufficient to permit Eya to contact you, such as an address, telephone number, and, if available, an electronic mail address at which you may be contacted;
(v) A statement that you have a good faith belief that the use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
(vi) A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
You should consult with your own lawyer and/or see 17 U.S.C. § 512 to confirm your obligations to provide a valid notice of claimed infringement.

(e) Counter Notification. If you receive a notification from Eya that material made available by you on or through the Site or the Eya Service has been the subject of a Notification of Claimed Infringement, then you will have the right to provide Eya with what is called a “Counter Notification.” To be effective, a Counter Notification must be in writing, provided Eya’ s Designated Agent through one of the methods identified in Section 11(d) of this TOS, and include substantially the following information:
(i) A physical or electronic signature of the subscriber;
(ii) Identification of the material that has been removed or to which access has been disabled and the location at which the material appeared before it was removed or access to it was disabled;
(iii) A statement under penalty of perjury that the subscriber has a good faith belief that the material was removed or disabled as a result of mistake or misidentification of the material to be removed or disabled; and
(iv) The subscriber’s name, address, and telephone number, and a statement that the subscriber consents to the jurisdiction of Federal District Court for the judicial district in which the address is located, or if the subscriber’s address is outside of the United States, Civil Courts in Beirut / Lebanon, and that the subscriber will accept service of process from the person who provided notification under Section 11(c) of this TOS above or an agent of such person.
A party submitting a Counter Notification should consult a lawyer or see 17 U.S.C. § 512 to confirm the party’s obligations to provide a valid counter notification under the Copyright Act.
(f) False Notifications of Claimed Infringement or Counter Notifications. The Copyright Act provides that: Any person who knowingly materially misrepresents under [Section 512 of the Copyright Act (17 U.S.C. § 512)] (1) that material or activity is infringing, or (2) that material or activity was removed or disabled by mistake or misidentification, shall be liable for any damages, including costs and attorneys’ fees, incurred by the alleged infringer, by any copyright owner or copyright owner’s authorized licensee, or by a service provider, who is injured by such misrepresentation, as the result of Eya relying upon such misrepresentation in removing or disabling access to the material or activity claimed to be infringing, or in replacing the removed material or ceasing to disable access to it.
17 U.S.C. § 512(f). Eya reserves the right to seek damages from any party that submits a notification of claimed infringement or counter notification in violation of the law.
For the avoidance of doubt, only notices submitted under the Digital Millennium Copyright Act and the procedures set forth in this Section 11 should be sent to the Designated Agent at the e-mail or postal address set forth above. 12.1 The Service may include hyperlinks to other web sites that are not owned or controlled by Eya.Life. Eya.Life has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party websites.
12.2 You acknowledge and agree that Eya.Life is not responsible for the availability of any such external sites or resources, and does not endorse any advertising, products or other materials on or available from such web sites or resources.
12.3 You acknowledge and agree that Eya.Life is not liable for any loss or damage which may be incurred by you as a result of the availability of those external sites or resources, or as a result of any reliance placed by you on the completeness, accuracy or existence of any advertising, products or other materials on, or available from, such web sites or resources.
12.4 Eya.Life encourages you to be aware when you leave the Service and to read the terms and conditions and privacy policy of each other website that you visit.
12.5 Any party wishing to link to this website is entitled to do so provided that the conditions below are observed:
(a) We are endorsing the services or products of another party unless this has been agreed with us in writing;
(b) No misrepresentation in your relationship with this linked website; and;
(c) the website from which you link to this Website does not contain offensive or otherwise controversial content or, content that infringes any intellectual property rights or other rights of a third party.
12.6 By linking to this Digital Platform in breach of our terms, you shall indemnify us for any loss or damage suffered to this Website as a result of such linking.
13. DISCLAIMERS AND LIMITATION OF LIABILITY
13.1 The Digital Platform is provided on an AS IS and AS AVAILABLE basis without any representation or endorsement made and without warranty of any kind whether express or implied, including but not limited to the implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, security and accuracy.
13.2 To the extent permitted by law, Eya.Life Library will not be liable for any indirect or consequential loss or damage whatever (including without limitation loss of business, opportunity, data, profits) arising out of or in connection with the use of the Digital Platform.
13.3 Eya.Life Library makes no warranty that the functionality of the Digital Platform will be uninterrupted or error free, that defects will be corrected or that the Website or the server that makes it available are free of viruses or anything else which may be harmful or destructive.
14. INDEMNITY
You agree to indemnify and hold Eya.Life and its employees and agents harmless from and against all liabilities, legal fees, damages, losses, costs and other expenses in relation to any claims or actions brought against Eya.Life Library arising out of any breach by you of these Terms and Conditions or other liabilities arising out of your use of this Website.
15. SEVERANCE
If any of these Terms and Conditions should be determined to be invalid, illegal or unenforceable for any reason by any court of competent jurisdiction then such Term or Condition shall be severed and the remaining Terms and Conditions shall survive and remain in full force and effect and continue to be binding and enforceable.
16. WAIVER
If you breach these Conditions of Use and we take no action, we will still be entitled to use our rights and remedies in any other situation where you breach these Conditions of Use.

These Terms and Conditions shall be governed by and construed in accordance with the law of Egypt and you hereby submit to the exclusive jurisdiction of the Egyptian courts,
